Terms and Conditions

General Terms and Conditions of Chrollo Balloon

§ 1 Scope

(1) These General Terms and Conditions (hereinafter "Terms and Conditions") apply to all contracts for balloon decorations and related services between Chrollo Balloon, owner Michael Stein (hereinafter "we"), and our customers, regardless of whether the contract is initiated via the website, by e-mail, WhatsApp, Instagram, TikTok, by telephone or in person.

(2) A consumer within the meaning of these Terms and Conditions is any natural person who enters into the contract for purposes that are predominantly outside their trade, business or self-employed professional activity (§ 13 BGB, German Civil Code). An entrepreneur is any natural or legal person or partnership with legal capacity who, when entering into the contract, acts in the exercise of their trade, business or self-employed professional activity (§ 14 BGB).

(3) We do not recognize deviating terms of customers who are entrepreneurs unless we have expressly agreed to their validity in text form.

§ 2 Offer and Conclusion of Contract

(1) The presentation of our services on the website, in social networks and in presentations is non-binding and does not constitute an offer.

(2) Upon request, we prepare an individual quotation in text form (e.g. by e-mail or as a PDF). Please confirm this quotation by e-mail. Upon your confirmation, the order is deemed to have been placed bindingly and the contract is concluded.

§ 3 Services

We plan, deliver and set up balloon decorations in accordance with the specifications agreed in the quotation. Special requests and changes after conclusion of the contract may result in additional costs; we will agree these with you in advance.

§ 4 Delivery, Setup and Force Majeure

(1) We deliver and set up the decorations at the agreed location and on the agreed date. The customer shall ensure that the setup location is accessible at the agreed time.

(2) In the event of foreseeable delays, we will inform the customer without delay.

(3) If an order cannot be carried out, or can be carried out only in part, for reasons beyond our control (e.g. official requirements, lack of access to the setup location, severe weather warnings, strikes or other force majeure), we are released from our obligation to perform for the duration of the impediment. Costs already incurred and services already rendered are subject to remuneration. In such cases, we will seek an amicable solution, for example an alternative date.

(4) For outdoor installations, we will decide on the day of setup, in consultation with the customer, whether a safe setup is possible in wind or precipitation. The safety of persons takes priority. A relocation from outdoors to indoors is possible provided that the conditions on site permit this.

§ 5 Prices and Payment

(1) The prices stated in the quotation apply. For consumers, these are final prices including statutory value added tax.

(2) For larger projects, a reasonable down payment or payment in advance may be agreed; this will be specified in the quotation.

(3) Invoices are payable without deduction no later than 30 days after receipt of the invoice, unless otherwise agreed in the quotation.

§ 6 Cancellation and Rescheduling

(1) The customer may cancel the order at any time after confirmation of the quotation. Cancellation must be made in text form, for example by e-mail; the date of receipt of the cancellation by us is decisive.

(2) In the event of cancellation after confirmation of the quotation, we charge the following cancellation fees:

• up to 30 days before the date: 50 % of the quoted price,

• 14 to 29 days before the date: 75 % of the quoted price,

• 13 days or less before the date: 100 % of the quoted price.

(3) The customer remains entitled to prove that we have incurred no damage or claim to remuneration, or a substantially lower one.

(4) Material already ordered or individually produced (e.g. printed balloons, special colors, special sizes) will be charged regardless of the time of cancellation, insofar as further use is not economically possible.

(5) If the event does not take place on the agreed date, the date may be postponed once within 12 months by arrangement. Payments already made will be credited. Rescheduling is subject to available capacity. If no agreement on an alternative date can be reached, the cancellation terms pursuant to paragraph 2 apply.

(6) Weather-related cancellations do not constitute grounds for free cancellation; § 4 paragraphs 3 and 4 remain unaffected.

(7) In individual cases, we may waive the cancellation fee in whole or in part as a gesture of goodwill.

(8) The statutory right of withdrawal of consumers (§ 10) remains unaffected.

§ 7 Liability

(1) We are liable without limitation for intent and gross negligence, for damages resulting from injury to life, body or health, under the Produkthaftungsgesetz (German Product Liability Act) and to the extent of any guarantee assumed.

(2) In the event of a slightly negligent breach of an essential contractual obligation, our liability is limited to the damage typical for the contract and foreseeable at the time of conclusion of the contract. Essential contractual obligations are those whose fulfillment makes the proper performance of the contract possible in the first place and on whose compliance the customer may regularly rely.

(3) Otherwise, liability for slight negligence is excluded.

(4) The above limitations also apply in favor of our employees and vicarious agents.

§ 8 References, Photographs and Video Recordings

(1) By accepting the quotation, the customer agrees that we may use the implementation as a reference, in particular on our website, in social media and in our portfolio. A brief notice by e-mail is sufficient if this is not desired.

(2) For this purpose, we photograph and film the decorations designed by us. We show persons only if they are not recognizable or if their consent has been given.

(3) If the customer objects, we will take this into account for future publications and remove recordings already published from our own channels, insofar as this is possible for us.

(4) We do not use the recordings in any context that could disparage the customer or the persons depicted.

§ 9 Final Provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the state in which the consumer has their habitual residence.

(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is Berlin.

(3) Consumer dispute resolution: We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

(4) Should individual provisions of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by the statutory provisions.

§ 10 Withdrawal Policy for Consumers

For contracts concluded exclusively by means of distance communication (e.g. e-mail, telephone, WhatsApp), consumers have a statutory right of withdrawal in accordance with the following:

Right of withdrawal

You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period will expire after fourteen days from the day of the conclusion of the contract.

To exercise the right of withdrawal, you must inform us (Chrollo Balloon, Michael Stein, An der Kappe 61c, 13583 Berlin, e-mail: info@chrolloballoon.de) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or e-mail). You may use the attached model withdrawal form, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated to us your withdrawal from this contract, in comparison with the full coverage of the contract.

Note on the commencement of performance

If you wish us to begin performance before the withdrawal period expires (e.g. ordering material or individual production), we ask you to expressly request this in text form.
